French state buys Atos’s advanced computing division

The French government has made a non-binding offer to acquire Atos SE’s Advanced Computing division, valuing the unit at €500 million, with the potential to increase to €625 million through performance-based earn-outs. This division encompasses Atos’s High-Performance Computing (HPC), Quantum Computing, Artificial Intelligence, and Business Computing operations, employing approximately 2,500 individuals and generating around €570 million in revenue in 2023
The offer includes an initial payment of €150 million upon signing a Share Purchase Agreement, with an exclusivity period for negotiations extending until May 31, 2025 . This move follows a previous, broader offer from the French state in June 2024, which aimed to acquire additional Atos units such as Mission-Critical Systems and Cybersecurity Products. That earlier offer expired in October 2024 without an agreement
The French government’s interest in Atos’s Advanced Computing division underscores its strategic importance, particularly in areas critical to national security like nuclear deterrence and defense applications . This potential acquisition is part of Atos’s broader financial restructuring efforts, which include converting €2.9 billion of loans into equity and raising €233 million through a rights issue . In addition to the Advanced Computing division, Atos has expressed intentions to initiate formal sale processes for its Cybersecurity and Mission-Critical Systems units, which collectively generated approximately €340 million in revenue in 2023
